THE AGREEMENT: The use of eTradn.com and its services on this WWW.ETRADN.COM provided by eTradn.com/Altijarat Alhadira (hereinafter referred to as "Company") are subject to the following Terms & Conditions (hereinafter the "Agreement"), all parts and sub-parts of which are specifically incorporated by reference here. This Agreement shall govern the use of all pages on this WWW.ETRADN.COM (hereinafter collectively referred to as "eTradn") and any services provided by or on eTradn.com ("Services").

The terms and conditions outlined in these Terms of Use apply to your access and use of all websites, mobile sites, mobile applications, and other portals related to the eTradn e-commerce platform, including but not limited to web and mobile-optimized versions of websites denoted by the uniform resource locator WWW.ETRADN.COM and mobile applications of the WWW.ETRADN.COM

1) DEFINITIONS

The parties referred to in this Agreement shall be defined as follows:

a) ETradn.com, Us, We eTradn.com, as the creator, operator, and publisher of the WWW.ETRADN.COM, makes the WWW.ETRADN.COM, and certain Services on it, available to users. eTradn.com/Altijarat Alhadira, Company, Us, We, Our, Ours and other first-person pronouns will refer to Etradn.com, as well as all employees and affiliates of Etradn.com.

b) You, the User, the Client: You, as the user of eTradn.com, will be referred to throughout this Agreement with second-person pronouns such as You, Your, Yours, or as User or Client.

c) Parties: Collectively, the parties to this Agreement (eTradn.com and You) will be referred to as Parties.

2) ASSENT & ACCEPTANCE

By using the WWW.ETRADN.COM, You warrant that You have read and reviewed this Agreement and that You agree to be bound by it. If You do not agree to be bound by this Agreement, please leave the WWW.ETRADN.COMimmediately. eTradn.com only agrees to provide use of this WWW.ETRADN.COM and Services to You if You assent to this Agreement.

We may, at any time, and at our sole discretion, modify these Terms and Conditions of Use, including our Privacy Policy, with or without notice to the User. Any such modification will be effective immediately upon public posting. Your continued use of our Service and this Site following any such modification constitutes your acceptance of these modified Terms

You may be required to enter into separate agreement(s), whether online or offline, with eTradn or our affiliate for any Service or in furure (or features within the Services) (each an “Additional Agreement”)

3) AGE RESTRICTION

You must be at least 18 (eighteen) years of age to use this WWW.ETRADN.COMor any Services contained herein. By using this WWW.ETRADN.COM, You represent and warrant that You are at least 18 years of age. eTradn.com assumes no responsibility or liability for any misrepresentation of Your age.

4) PROVISION OF SERVICES

4.1 If you use the eTradn sites from one of the Jurisdictions and are a registered member, you are entering into a contract with WWW.ETRADN.COM Saudi Arabia Commerce Private Limited (formed in Saudi Arabia with Company Reg. No. +++++++++++).

 4.2 eTradn retains the right to limit access to or use of specific Services (or any aspects within the Services). There may be regional and national variations in the Services (or any elements therein). There is no guarantee or representation that a certain Service, its feature or function, or the same kind and scope of the Service, its feature and function, will be accessible to Users. Different Users may be granted varying degrees of access to and usage of the Services (or any elements within the Services), in eTradn's sole discretion.

4.3 eTradn may launch, update, impose restrictions on, suspend, or terminate any services (or features within) without prior notice, with the exception of a fee-based service, where such modifications won't materially impair the ability of paying Users to use such service.

4.4 Promotional services provided by eTradn in accordance with the terms herein shall include Sponsored Listing and services that benefit, promote, support, whether directly or indirectly, the User's business, brand, product, store, logo, trademark, service mark, User Content (as defined in clause 3.6 of the Terms), and/or derivative works using the User Content on software, applications, tools, browser extensions, and/or platforms run and/or controlled by eTradn.

In its sole discretion, eTradn shall have the right to decide whether the Promotion Services or any component thereof will be available to you.   

5) USERS GENERALLY

5.1 You undertake to abide by all applicable laws and regulations when accessing or using the Sites or Services as a condition of your use of such resources.

5.2 You acknowledge and agree that (a) you will not duplicate, download, publish, sell, distribute, or resell any Services or any information, text, images, graphics, video clips, sound, directories, files, databases, or listings (collectively, the "Site Content") made available on or through the Sites. (B) You will not duplicate, download, compile, or use any Site Content in any other way in order to operate a business in direct competition with eTradn or for any other Without the express written consent of eTradn, it is forbidden to continuously retrieve Site Content from the Sites in order to build or construct a collection, compilation, database, or directory, whether using robots, spiders, automatic tools, or human procedures. Any use of the information or materials on the sites that is not expressly authorized by the Terms is forbidden.

5.3 Via word links, banners, channels, or other types of linkages, APIs, or other means, we might grant Users access to materials, goods, or services supplied by third parties. Before using the Sites, you are advised to review the terms and conditions of such websites. You agree that eTradn has no control over and does not monitor the websites of these third parties, and that eTradn is not responsible or accountable to anyone for any material, goods, or services made available on or through such websites.

5.4 You acknowledge that you will not take any steps to compromise the security or privacy of Etradn's or another User's computer systems or networks, nor will you attempt to obtain unauthorized access to such systems or networks.

5.5 You commit to refraining from taking any actions that would impair the credibility of the eTradn feedback system, such as leaving yourself favorable feedback using additional Member IDs or through intermediaries, or providing another User unjustified negative feedback.  

5.6 To the fullest extent permitted by law, you grant eTradn and/or its affiliates and their respective representative(s) an irrevocable, perpetual, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, publicly display, and publicly perform any logos, trademarks, service marks, brands, descriptions or information in the product listings, and other information, content or material that you post or display on the Sites (collectively, On the Sites and/or Third Party Channels, for any purpose that may be advantageous, whether directly or indirectly, to eTradn, the operation of the Sites, the provision of any Services and Promotion Services, and/or the business of the User. Content in any format, media, or technology now known or not currently known. You affirm and warrant to eTradn that you have all the rights, power, and authority necessary to grant the aforementioned license and that the use of the User Content by eTradn and/or its affiliates under the said license (including any derivative works) does not infringe upon or otherwise violate any Third Party Rights. You give up your right to sue eTradn and/or its affiliates, assignees, or sublicenses for infringement of your intellectual property rights in connection with the use of the User Content in connection with the Services to the fullest extent permitted by law. Information covered by data protection laws will only be handled and stored in accordance with those regulations.

6) LICENSE TO USE WWW.ETRADN.COM

eTradn.com may provide you with certain information as a result of your use of the WWW.ETRADN.COM or Services. Such information may include but is not limited to, documentation, data, or information developed by eTradn.com, and other materials which may assist in Your use of the WWW.ETRADN.COMor Services ("Company Materials"). Subject to this Agreement, eTradn.com grants You a non-exclusive, limited, non-transferable and revocable license to use eTradn.com Materials solely in connection with Your use of the WWW.ETRADN.COM and Services. eTradn.com Materials may not be used for any other purpose, and this license terminates upon Your cessation of use of the WWW.ETRADN.COM or Services or at the termination of this Agreement.

7) BUYER and SELLER TRANSACTION

eTradn.com offers electronic web-based platforms for information exchange between buyers and sellers of goods and services through the Sites. For Members` to place, accept, conclude, manage, and complete orders for the provision of goods and services online within the Sites, eTradn.com also offers electronic web-based transaction platforms, subject to the terms of the Transaction Services Agreement. eTradn.com, however, does not act as a representative for either the buyer or the seller in any particular transaction for any Services. eTradn.com has no control over and assumes no liability or responsibility for the efficacy, reliability, legality, or accessibility of any goods or services advertised for sale on the Sites, or for the ability of either buyers or sellers to consummate a transaction.

Users are hereby informed of the potential risks associated with dealing with individuals posing as someone else. ETradn.com employs a number of methods to confirm the veracity of specific data that our paying Users give us when they sign up on the Sites. However, due to the difficulty of user verification on the Internet, ETradn.com is unable to and does not verify each User's claimed identity (including, without limitation, paying Members). We advise you to assess whom you are dealing with by using a variety of methods as well as common sense.

The risks of engaging in any purchase or sale transaction in connection with or through the Sites or Services are assumed by buyers and sellers who access or use the Sites or Services. All risks of liability or harm of any kind associated with any subsequent activity relating to the goods or services that are the subject of the transactions on the Sites are also fully assumed by buyers and sellers who access or use the Site or Services. Examples of such risks include, but are not limited to, misrepresentation of goods and services, deceptive business practices, subpar product quality, failure to meet requirements, dangerous or defective goods, illegal goods, late or untimely delivery or payment, cost miscalculations, breach of warranty, breach of contract, transportation accidents, and the possibility that goods will be manufactured, imported, exported, distributed, offered, displayed, purchased, sold, and/or otherwise transferred in violation of the terms of this agreement. And the chance that users may have to pay for defense or other expenses related to the assertion of third party rights by third parties, or related to any claims made by anyone that they are entitled to defense or indemnification in relation to the demands or claims made by third party rights claimants.

Examples of such risks include the chance that customers, other buyers, product users, or other third parties will assert that they have suffered harm or injuries as a result of using the products they purchased through the Sites or Services. "Transaction Risks" refers to all of the aforementioned risks. ETradn.com is not accountable or liable for any costs, harm, inconveniences, interruptions of business, or expenditures of any kind that may result from or be related to any Transaction Risks.

Subject to any additional obligations imposed by the Transaction Services Agreement, buyers and sellers on the Sites are solely responsible for formulating and upholding the terms and conditions of transactions conducted on, through, or as a result of use of the Sites or Services, including, without limitation, terms regarding payment, returns, warranties, shipping, insurance, fees, taxes, title, licenses, fines, permits, handling, transportation, and storage (and in particular, clause 3.2).

User agrees to supply ETradn.com with any and all information and materials that may be reasonably needed in connection with transactions made on, through, or as a result of using the Sites or Services by you. If a user fails to submit the necessary documents, ETradn.com has the right to suspend or terminate that user's account without incurring any liability for losses or damages resulting from or related to such suspension or termination.

If a user has a disagreement with one of the parties to a transaction, that user agrees to hold ETradn.com (and our agents, affiliates, directors, officers, and employees) harmless from any claims, demands, actions, proceedings, costs, expenses, and damages (including, without limitation, any actual, special, incidental, or consequential damages) resulting from or related to that disagreement or the transaction.

8) INTELLECTUAL PROPERTY

You agree that the WWW.ETRADN.COM and all Services provided by eTradn.com are the property of eTradn, including all copyrights, trademarks, trade secrets, patents, and other intellectual property ("Company IP"). You agree that eTradn.com owns all right, title and interest in and to eTradn.com IP and that You will not use eTradn.com IP for any unlawful or infringing purpose. You agree not to reproduce or distribute eTradn.com IP in any way, including electronically or via registration of any new trademarks, trade names, service marks or Uniform Resource Locators (URLs), without express written permission from eTradn.com.

a) In order to make the WWW.ETRADN.COM and Services available to You, You hereby grant eTradn.com a royalty-free, non-exclusive, worldwide license to copy, display, use, broadcast, transmit and make derivative works of any content You publish, upload, or otherwise make available to the WWW.ETRADN.COM ("Your Content"). eTradn.com claims no further proprietary rights in Your Content.

9) USER OBLIGATIONS

As a user of the WWW.ETRADN.COMor Services, you may be asked to register with Us. When You do so, you will choose a user identifier, which may be Your email address or another term, as well as a password. You may also provide personal information, including, but not limited to, Your name. You are responsible for ensuring the accuracy of this information. This identifying information will enable You to use WWW.ETRADN.COM and Services. You must not share such identifying information with any third party, and if You discover that Your identifying information has been compromised, you agree to notify Us immediately in writing. An email notification will suffice. You are responsible for maintaining the safety and security of Your identifying information as well as keeping Us apprised of any changes to Your identifying information. Providing false or inaccurate information or using the WWW.ETRADN.COMor Services to further fraud or unlawful activity is grounds for immediate termination of this Agreement.

10) ACCEPTABLE USE

You agree not to use the WWW.ETRADN.COMor Services for any unlawful purpose or any purpose prohibited under this clause. You agree not to use the WWW.ETRADN.COM or Services in any way that could damage Saudi Arabia or the WWW.ETRADN.COM, Services, or the general business of Saudi Arabia or eTradn.com.

You further agree not to use the WWW.ETRADN.COMor Services:

I) To harass, abuse, or threaten others or otherwise violate any person's legal rights.

II) To violate any intellectual property rights of eTradn.com or any third party.

III) To upload or otherwise disseminate any computer viruses or other software that may damage the property of another.

IV) To perpetrate any fraud.

V) To engage in or create any unlawful gambling, sweepstakes, or pyramid scheme.

VI) To publish or distribute any obscene or defamatory material.

VII) To publish or distribute any material that incites violence, hate, or discrimination towards any group.

VIII) To unlawfully gather information about others.

• TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES PROVIDED BY ETRADN.COM ON OR THROUGH THE SITES ARE PROVIDED "AS IS", "AS AVAILABLE" AND "WITH ALL FAULTS", AND ETRADN.COM HEREBY EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, ANY WARRANTIES OF CONDITION, QUALITY, DURABILITY, PERFORMANCE, ACCURACY, RELIABILITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. THIS EXCLUSION APPLIES TO ALL SUCH WARRANTIES, REPRESENTATIONS, CONDITIONS, AND UNDERTAKINGS.
• To the fullest extent permitted by law, ETradn.com disclaims all representations and warranties, express or implied, regarding the validity, accuracy, reliability, quality, stability, completeness, or correctness of any information provided on or through the sites. Additionally, ETradn.com disclaims any representation or warranty that the manufacture, importation, export, distribution, offer, display, purchase, sale, and/or use of any products or services offered or displayed on the sites does not violate any third-party rights.
• Each User downloads or otherwise obtains content from the Sites or Services at their sole discretion and risk, and they are solely responsible for any loss of data or harm to their own or ETradn.com computer system(s) that may result from the download of such content. No User's reliance on any advice or information, whether expressed or implied, obtained from ETradn.com, the Sites, or otherwise shall create any warranty not expressly stated in this agreement.
• The Sites may provide Users with access to services or goods offered by unaffiliated third parties. Regarding such services or products, no warranty or representation is given. ETradn.com and our affiliates will never be held responsible for any such services.
• Each User hereby agrees to hold ETradn.com, our affiliates, directors, officers, and employees harmless from any and all losses, claims, liabilities, and legal costs (including on a full indemnity basis) that may arise from such User's access to or use of the Sites or Services (including but not limited to the submission, posting or display of such User's information and User Content on the Sites, ETradn Channels, or Third Party Channels under Promotion Se Each User further agrees to defend and hold harmless ETradn.com, our affiliates, directors, officers, and employees from any and all losses, damages, claims, liabilities, and expenses, including but not limited to reasonable attorneys' fees.
• Each User hereby further agrees to hold harmless and indemnify ETradn.com, our affiliates, directors, officers, and employees from any and all losses, damages, claims, liabilities, and legal fees that may result, directly or indirectly, from any claims made by Third Party Rights claimants or other third parties regarding User Content, information, and/or products offered or displayed on the Sites. Each User further acknowledges that ETradn.com is not liable for any content posted by third parties, including content that is libelous, offensive, or illicit, and that each User bears the entire risk of harm from such content.
• Whether in a contract, negligence, tort, equity, or other circumstance, ETradn.com shall not be liable for any special, direct, indirect, punitive, incidental, consequential, or other damages (including, but not limited to, damages for loss of profits or savings, business interruption, loss of information), resulting from any of the following: A breach of third party rights or claims or demands that User's manufacture, importation, exportation, distribution, offer, display, purchase, sale and/or use of products or services offered or displayed on the Sites violates those rights includes: a) the use or the inability to use the Sites or Services; b) any defect in goods, samples, data, information, or services obtained from a User or any other third party through the Sites or Services; and c) the use or the inability to claims by any party that they are entitled to defense or indemnification in relation to rights assertions, demands, or claims by Third Party Rights claimants; d) unauthorized third-party access to data or private information of any User; e) statements or conduct of any User of the Sites or Services; or; f) any matters relating to the Sites or Services, however arising, including negligence.  
• Despite the aforementioned restrictions, ETradn.com's total liability to each User for all claims resulting from access to or use of the Sites or Services during any calendar year shall be limited to the greater of (a) the fees the User has paid to ETradn.com in exchange for such access to or use of the Site or Services during the calendar year, or (b) the actual amount paid by the User for such access or use. The requirement for the User to demonstrate actual damages shall not be affected by the preceding clause. It is necessary to file any claims resulting from using the websites or services within one (1) year From the date the cause of action arose or such longer period as prescribed under the applicable law governing the Terms.
• To the fullest extent permitted by law, the limitations and exclusions of ETradn.com's liability to you under the Terms shall apply, whether or not ETradn.com has been informed of or ought to have been aware of the possibility of any such losses occurring.

11) AFFILIATE MARKETING & ADVERTISING

eTradn.com, through the WWW.ETRADN.COM and Services, may engage in affiliate marketing whereby eTradn.com receives a commission on or percentage of the sale of goods or services on or through the WWW.ETRADN.COM. eTradn.com may also accept advertising and sponsorships from commercial businesses or receive other forms of advertising compensation. This disclosure is intended to comply with the Saudi Arabia Trade Commission Rules on marketing and advertising, as well as any other legal requirements which may apply.

12) Force Majeure

Etradn.com shall not be liable for or required to pay compensation of any nature whatsoever for any loss arising from the unavailability, inconvenience or failures of the services or systems due to the following reasons:

 (i) system shutdown for maintenance; 

(ii) inability to transmit data due to failures in communications terminals or telecommunications equipment; 

(iii) systems failure and inability to perform its functions) due to force majeure events including but not limited to typhoons, earthquakes, tsunamis, floods, power failure, fires, storms, war, political unrest, labour strikes, shortage of labor or materials, riots, insurrections, civil disturbances, terrorist attack, explosions, acts of God, governmental actions, orders of domestic or foreign courts or tribunals, nonperformance of third parties; or 

(iv) suspension or delay of services or systems failure due to reasons beyond the reasonable control of ETradn.com such as hacker or cyber attacks, technical adjustments or failure of the telecommunications department, website upgrades, third party problems or any suspension or disruption of transportation or business operation (including but not limited to delays or disruption of the resumption of work or operation ordered by any government agency) in the event of a national or regional spread of epidemic or pandemic.

 13) PRIVACY INFORMATION

Through Your Use of the WWW.ETRADN.COM and Services, you may provide Us with certain information. By using the eTradn.com or the Services, you authorize eTradn.com to use Your information in Saudi Arabia and any other country where We may operate. Please refer to Privacy Policy covered separately.

14) SALES

eTradn.com may sell goods or services or allow third parties to sell goods or services on the WWW.ETRADN.COM. eTradn.com undertakes to be as accurate as possible with all information regarding the goods and services, including product descriptions and images. However, eTradn.com does not guarantee the accuracy or reliability of any product information, and You acknowledge and agree that You purchase such products at Your own risk. For goods or services sold by others, eTradn.com assumes no liability for any product and cannot make any warranties about the merchantability, fitness, quality, safety, or legality of these products. For any claim You may have against the manufacturer or seller of the product, you agree to pursue that claim directly with the manufacturer or seller and not with eTradn.com. You hereby release eTradn.com from any claims related to goods or services manufactured or sold by third parties, including any and all warranty or product liability claims.

15) SHIPPING/DELIVERY/RETURN POLICY

You agree to ensure payment for any items You may purchase from Us, and You acknowledge and affirm that prices are subject to change. When purchasing a physical good, you agree to provide Us with a valid email and shipping address, as well as valid billing information. We reserve the right to reject or cancel an order for any reason, including errors or omissions in the information that You provide to us. If We do so after payment has been processed, we will issue a refund to You in the amount of the purchase price. We also may request additional information from You prior to confirming a sale, and We reserve the right to place any additional restrictions on the sale of any of Our products. You agree to ensure payment for any items You may purchase from Us, and You acknowledge and affirm that prices are subject to change. For the sale of physical products, we may preauthorize Your credit or debit card at the time You place the order, or We may simply charge Your card upon shipment. You agree to monitor Your method of payment. Shipment costs and dates are subject to change from the costs and dates that You are quoted due to unforeseen circumstances. 16) REVERSE ENGINEERING & SECURITY

You agree not to undertake any of the following actions:

a) Reverse engineer or attempt to reverse engineer or disassemble any code or software from or on the WWW.ETRADN.COMor services.

b) Violate the security of the WWW.ETRADN.COMor Services through any unauthorized access, circumvention of encryption or other security tools, data mining or interference to any host, user, or network.

17) DATA LOSS

eTradn.com does not accept responsibility for the security of Your account or content. You agree that Your use of the WWW.ETRADN.COM or Services is at Your own risk.

18) INDEMNIFICATION

You agree to defend and indemnify eTradn.com and any of its affiliates (if applicable) and hold Us harmless against any and all legal claims and demands, including reasonable attorney's fees, which may arise from or relate to Your use or misuse of the WWW.ETRADN.COM or Services, Your breach of this Agreement, or Your conduct or actions. You agree that eTradn.com shall be able to select its own legal counsel and may participate in its own defense if eTradn.com wishes.

19) SPAM POLICY

You are strictly prohibited from using the WWW.ETRADN.COMor any of eTradn.com's Services for illegal spam activities, including gathering email addresses and personal information from others or sending any mass commercial emails.

20) THIRD-PARTY LINKS & CONTENT

eTradn.com may occasionally post links to third party WWW.ETRADN.COM or other services. You agree that Etradn.com is not responsible or liable for any loss or damage caused as a result of Your use of any third-party services linked to from Our WWW.ETRADN.COM

21) MODIFICATION & VARIATION

Etradn.com may, from time to time and at any time without notice to You, modify this Agreement. You agree that eTradn.com has the right to modify this Agreement or revise anything contained herein. You further agree that all modifications to this Agreement are in full force and effect immediately upon posting on the WWW.ETRADN.COM and that modifications or variations will replace any prior version of this Agreement unless prior versions are specifically referred to or incorporated into the latest modification or variation of this Agreement.

a) To the extent any part or sub-part of this Agreement is held ineffective or invalid by any court of law, you agree that the prior, effective version of this Agreement shall be considered enforceable and valid to the fullest extent.

b) You agree to routinely monitor this Agreement and refer to the Effective Date posted at the top of this Agreement to note modifications or variations. You further agree to clear Your cache when doing so to avoid accessing a prior version of this Agreement. You agree that Your continued use of the WWW.ETRADN.COMafter any modifications to this Agreement is a manifestation of Your continued assent to this Agreement.

c) In the event that You fail to monitor any modifications to or variations of this Agreement, you agree that such failure shall be considered an affirmative waiver of Your right to review the modified Agreement.

22) ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the Parties with respect to any and all use of this WWW.ETRADN.COM. This Agreement supersedes and replaces all prior or contemporaneous agreements or understandings, written or oral, regarding the use of this WWW.ETRADN.COM.

23) SERVICE INTERRUPTIONS

eTradn.com may need to interrupt Your access to the WWW.ETRADN.COMto perform maintenance or emergency services on a scheduled or unscheduled basis. You agree that Your access to the WWW.ETRADN.COMmay be affected by unanticipated or unscheduled downtime, for any reason, but that eTradn.com shall have no liability for any damage or loss caused as a result of such downtime.

24) TERM, TERMINATION & SUSPENSION

eTradn.com may terminate this Agreement with You at any time for any reason, with or without cause. eTradn.com specifically reserves the right to terminate this Agreement if You violate any of the terms outlined herein, including, but not limited to, violating the intellectual property rights of eTradn.com or a third party, failing to comply with applicable laws or other legal obligations, and/or publishing or distributing illegal material. If You have registered for an account with Us, you may also terminate this Agreement at any time by contacting Us and requesting termination. At the termination of this Agreement, any provisions that would be expected to survive termination by their nature shall remain in full force and effect.

25) NO WARRANTIES

You agree that Your use of the WWW.ETRADN.COMand Services is at Your sole and exclusive risk and that any Services provided by Us are on an "As Is" basis. eTradn.com hereby expressly disclaims any and all express or implied warranties of any kind, including, but not limited to the implied warranty of fitness for a particular purpose and the implied warranty of merchantability. eTradn.com makes no warranties that the WWW.ETRADN.COMor Services will meet Your needs or that the WWW.ETRADN.COM or Services will be uninterrupted, error-free, or secure. eTradn.com also makes no warranties as to the reliability or accuracy of any information on the WWW.ETRADN.COM or obtained through the Services. You agree that any damage that may occur to You, through Your computer system, or as a result of a loss of Your data from Your use of the WWW.ETRADN.COMor Services is Your sole responsibility and that eTradn.com is not liable for any such damage or loss.

26) LIMITATION ON LIABILITY

eTradn.com is not liable for any damages that may occur to You as a result of Your use of the WWW.ETRADN.COMor Services, to the fullest extent permitted by law. The maximum liability of eTradn.com arising from or relating to this Agreement is limited to the greater of one hundred ($100) US Dollars or the amount You paid to eTradn.com in the last six (6) months. This section applies to any and all claims by You, including, but not limited to, lost profits or revenues, consequential or punitive damages, negligence, strict liability, fraud, or torts of any kind.

27) GENERAL PROVISIONS:

a) LANGUAGE: All communications made, or notices given pursuant to this Agreement shall be in the Arabic or English languages.

b) CHOICE OF LAW: Through Your use of the WWW.ETRADN.COMor Services, You agree that the laws of Saudi Arabia shall govern any matter or dispute relating to or arising out of this Agreement, as well as any dispute of any kind that may arise between You and eTradn.com, with the exception of its conflict of law provisions. In case any litigation specifically permitted under this Agreement is initiated, the Parties agree to submit to the personal courts of the within Dammam, Saudi Arabia. The Parties agree that this choice of law provision is not permissive, but rather mandatory in nature. You hereby waive the right to any objection of venue, including assertion of the doctrine of forum non-convenience or similar doctrine.

c) ARBITRATION: In case of a dispute between the Parties relating to or arising out of this Agreement, the Parties shall first attempt to resolve the dispute personally and in good faith. If these personal resolution attempts fail, the Parties shall then submit the dispute to Saudi courts. The arbitration shall be conducted in the following county: Dammam, Saudi Arabia.

d) ASSIGNMENT: This Agreement, or the rights granted hereunder, may not be assigned, sold, leased, or otherwise transferred in whole or part by You. Should this Agreement, or the rights granted hereunder, by assigned, sold, leased or otherwise transferred by eTradn.com, the rights and liabilities of eTradn.com will bind and inure to any assignees, administrators, successors, and executors.

e) SEVERABILITY: If any part or sub-part of this Agreement is held invalid or unenforceable by a court of law or competent arbitrator, the remaining parts and sub-parts will be enforced to the maximum extent possible. In such a condition, the remainder of this Agreement shall continue in full force.

f) NO WAIVER: In the event that we fail to enforce any provision of this Agreement, this shall not constitute a waiver of any future enforcement of that provision or of any other provision. Waiver of any part or sub-part of this Agreement will not constitute a waiver of any other part or sub-part.

g) HEADINGS FOR CONVENIENCE ONLY: Headings of parts and sub-parts under this Agreement are for convenience and organization, only. Headings shall not affect the meaning of any provisions of this Agreement.

h) NO AGENCY, PARTNERSHIP OR JOINT VENTURE: No agency, partnership, or joint venture has been created between the Parties as a result of this Agreement. No Party has any authority to bind the other to third parties.

i) FORCE MAJEURE: eTradn.com is not liable for any failure to perform due to causes beyond its reasonable control including, but not limited to, acts of God, acts of civil authorities, acts of military authorities, riots, embargoes, acts of nature and natural disasters, and other acts which may be due to unforeseen circumstances.
